CARECONNECT360 CARE SEEKER USER AGREEMENT

Terms of Use and Placement Policy

This Care Seeker User Agreement ("Agreement") is entered into by and between CareConnect360 ("Platform") and the individual registering as a user ("Care Seeker"). By registering, accessing, or using the Platform, the Care Seeker agrees to the following terms:

1. No Cost to Care Seeker

CareConnect360 is a free service for Care Seekers. The Care Seeker will not be charged any fee by CareConnect360 for using the Platform, searching for care, or being matched with Care Providers. Any compensation earned by CareConnect360 is paid solely by participating Care Providers in connection with successful placements.

2. Purpose of Platform

CareConnect360 is a digital marketplace designed to connect individuals seeking care services ("Care Seekers") with licensed and/or qualified care providers ("Care Providers"), including but not limited to assisted living facilities, skilled nursing facilities, home health agencies, caregiving agencies, hospice providers, and related services.

3. Platform Role and Limitation

CareConnect360 facilitates introductions and matches based on user-input criteria. CareConnect360 is not a care provider and does not provide medical, clinical, or legal advice. Final decisions regarding care selection are the sole responsibility of the Care Seeker.

4. Fair Use and No Circumvention

The Care Seeker acknowledges that CareConnect360 provides its services at no cost to the Care Seeker because it is compensated by Care Providers for successful placements. The Platform invests resources to identify, vet, and match appropriate Care Providers. Accordingly, the Care Seeker agrees to use the Platform in good faith and not to intentionally bypass CareConnect360 after being introduced to a Care Provider through the Platform. All initial engagements with Care Providers discovered through CareConnect360 should be conducted through the Platform.

5. Definition of Placement

A "Placement" is deemed to have occurred when a Care Seeker enters into a service agreement, residency agreement, or receives billable services from a Care Provider that was identified, introduced, or made known through CareConnect360, whether directly or indirectly.

6. Anti-Circumvention Period

The above obligations apply during active use of the Platform and for a period of 12 months following the last interaction with any Care Provider introduced through CareConnect360.

7. Platform Compensation Disclosure

The Care Seeker understands and agrees that CareConnect360 receives compensation only from Care Providers, not from Care Seekers. This compensation is part of the provider's cost of acquiring clients and does not create any direct fee obligation for the Care Seeker.

8. Breach and Liquidated Damages

If the Care Seeker knowingly circumvents the Platform and enters into a Placement with a Care Provider introduced through CareConnect360 outside of the Platform, the Care Seeker acknowledges that CareConnect360 would be deprived of its expected compensation. Because the Care Seeker pays no fee, this provision exists solely to prevent intentional misuse of the Platform. Accordingly, the Care Seeker agrees to pay liquidated damages equal to the greater of $1,500 or one (1) month of the agreed care service cost. This amount represents a reasonable estimate of damages and is not intended as a penalty.

9. User Representations

The Care Seeker represents that all information provided is accurate and truthful and that they are authorized to make decisions on behalf of the care recipient, if applicable.

10. Privacy and Data Use

The Care Seeker agrees that information submitted may be shared with Care Providers for the purpose of facilitating care matching and placement.

11. Termination

CareConnect360 reserves the right to suspend or terminate access to the Platform for violations of this Agreement.

12. Governing Law

This Agreement shall be governed by the laws of the State of California.

13. Acceptance

By checking the box during registration and using the Platform, the Care Seeker acknowledges that they have read, understood, and agree to be bound by this Agreement.
