CareConnect360 Provider Subscription & Referral Agreement

This Agreement (“Agreement”) is entered into as of [Date], by and between:

CareConnect360, LLC (“Company”), and

[Provider Name] (“Provider”), located at [Provider Address].

1. Subscription Services

1.1 Provider subscribes to CareConnect360 under the selected plan, with monthly fees payable in advance.

1.2 Subscription benefits include listing in the CareConnect360 directory, access to leads, and marketing exposure.

2. Referral Success Fee (Private Pay Only)

2.1 Provider agrees to pay a one-time referral fee for every successful private pay client introduced by CareConnect360.

2.2 Referral fee amounts are set by provider type and outlined in Exhibit A.

2.3 Fees do not apply to referrals involving clients reimbursed by Medicare, Medicaid, or other federal/state programs.

3. Non-Circumvention

3.1 Provider shall not circumvent, bypass, or attempt to avoid CareConnect360 in engaging with any Care Seeker introduced by the Company for twelve (12) months following the introduction.

3.2 Any violation will require Provider to pay the referral fee plus liquidated damages equal to 100% of the first month’s billings or $1,000 (whichever is greater), along with collection costs and attorneys’ fees.

4. Notification of Placement

4.1 Provider must notify CareConnect360 within five (5) business days of signing an agreement with a referred Care Seeker.

4.2 Notification must include:

The referral ID supplied by CareConnect360.

A signed service agreement or placement confirmation.

5. Audit Rights

5.1 Company may request verification of placements once per year. Provider agrees to produce documentation (contracts, invoices, or billing records) to confirm referral fees.

6. Payment Terms & Non-Payment

6.1 Referral fees are due within 30 days of invoice.

6.2 If unpaid within 60 days, CareConnect360 may:

Suspend or terminate the Provider’s subscription.

Remove the Provider’s listing from the directory.

7. Provider Responsibilities

Maintain accurate, updated listing information.

Respond promptly to Care Seeker inquiries.

Comply with healthcare regulations.

8. Company Responsibilities

Provide platform access and fair exposure.

Deliver referrals in good faith.

Protect confidential data in compliance with law.

9. Term & Termination

Effective on the date signed, continues month-to-month.

Either party may terminate with 30 days’ notice.

All outstanding fees remain due upon termination.

10. Miscellaneous

Governing law: State of [Wyoming/Delaware/California].

This Agreement supersedes all prior understandings.

Amendments require both parties’ written consent.
